Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern your use of the Ag Assist marketplace, website, and mobile app (together, “Ag Assist”), which connect users to offer, hire, buy, sell, or trade goods, services, and jobs. Ag Assist Limited (“we,” “our,” or “us”) provides the platform solely as a venue for users to connect with one another.

By using Ag Assist, you agree to these Terms and our Privacy Policy. If you do not agree, you must stop using the platform.

2. Definitions

  • Ag Assist: The platform operated by Ag Assist Limited.
  • Users: Individuals or entities using the platform.
  • Listings: Posts offering jobs, goods, or services for sale, hire, or trade.
  • Privacy Policy: The policy governing how we collect and use personal information.

3. Our Role

Ag Assist acts solely as a marketplace. We do not guarantee the quality, performance, legality, or delivery of goods, services, or jobs listed. We are not a party to transactions or hire arrangements. Users are fully responsible for their own activities, contracts, and dispute resolution.

4. Fees and Future Charges

Ag Assist is currently free to use. We reserve the right to introduce fees in the future. Users will be notified in advance of any fees and the services or listings to which they apply. Unless otherwise stated, we are not an escrow service and do not hold funds on trust for users.

5. User Responsibilities

All users agree to:

  • Provide accurate, lawful, and complete information in all listings and profiles.
  • Comply with all applicable laws, including the Fair Trading Act 1986, the Consumer Guarantees Act 1993 (where applicable), and the Human Rights Act 1993.
  • Manage payments, deliveries, and disputes directly with other users.

Users must not:

  • Post unlawful, misleading, defamatory, offensive, or infringing content.
  • Circumvent any fees, processes, or security measures.
  • Offer goods, services, or jobs that are unsafe, illegal, or violate rights.

If you are in trade, you must mark your account or listing accordingly and meet your obligations under NZ consumer law. Any attempt to contract out of the CGA only applies where both sides are in trade, it is in writing at the time, and it is fair and reasonable.

6. User Content

  1. Ownership: You retain ownership of any photos, text, or other content you upload.
  2. Licence to Us: By uploading, you grant us a non-exclusive, worldwide, royalty-free, sublicensable and transferable licence to use, copy, adapt, publish, display, distribute, and create derivative works from your content for the purpose of operating and promoting Ag Assist, including on our website, social media, and marketing material.
  3. Withdrawal: You may request we stop using your content in new promotions by contacting admin@agassist.co.nz.
  4. Your Promises: You confirm you have the rights to upload your content and that it does not breach copyright, privacy, defamation, or other laws.
  5. Takedown: If you believe content is unlawful, harmful, or infringes your rights, email admin@agassist.co.nz.

7. Jobs and Hiring

Job posters must comply with NZ employment and immigration law, including confirming a person’s right to work and not discriminating under the Human Rights Act 1993. Ag Assist is not the employer, contractor, or recruiter of record and does not vet candidates or guarantee job outcomes.

8. Animals and On-Farm Gear

Users are responsible for meeting all obligations relating to animals and equipment, including compliance with the NAIT Act, the Animal Welfare Act 1999, and any safety regulations for machinery or hire gear. Ag Assist may remove listings it believes breach these obligations.

9. Disclaimer of Liability

Ag Assist provides the platform “as is” without warranties. To the maximum extent permitted by law, we are not liable for any loss, damage, dispute, or claim arising from listings, content, transactions, or user interactions. Nothing in these Terms limits your non-excludable rights under New Zealand law.

10. Indemnity

You agree to indemnify and hold Ag Assist harmless against any claim, cost, or loss (including legal fees) arising from:

  • your content;
  • your use of the platform; or
  • your dealings with other users.

Our total liability to you is limited to the greater of: (a) fees you paid us in the 12 months before the claim; or (b) NZD $100—except where liability cannot be limited under law.

11. Intellectual Property

All content on Ag Assist (logos, graphics, text, etc.) belongs to us or our licensors. You may not copy, reproduce, or modify it without consent.

12. Privacy & Data Use

We handle personal information under the Privacy Act 2020 and our Privacy Policy. By accepting these Terms, you also consent to Ag Assist using your personal information, including contact details, in accordance with the Privacy Policy, which may include disclosure to trusted third parties for marketing or commercial purposes.

13. Platform Changes, Suspension & Termination

We may modify or suspend parts of the platform at any time. We may suspend, restrict, or terminate accounts and/or remove listings if we believe a user has breached these Terms, engaged in harmful activity, or for any reason we deem necessary. Users may cancel their account at any time by contacting admin@agassist.co.nz.

14. Reviews & Ratings

Reviews must be honest and fair. Fake, paid, or retaliatory reviews are prohibited. We may remove reviews at our discretion, and the same takedown process applies as in Section 6.

15. Governing Law & Boilerplate

These Terms are governed by New Zealand law, and disputes are handled by the NZ courts. If you access Ag Assist from overseas, you are responsible for local compliance.

Failure to enforce any part of these Terms is not a waiver. If any term is invalid, the rest remain effective. These Terms form the entire agreement for your use of Ag Assist. We may assign our rights. We are not liable for events outside our control.
